1. Who these terms are with
Smart BD is provided by [COMPANY LEGAL NAME], [REGISTERED ADDRESS] (“we”). These terms apply to anyone who creates an account or uses smartbd.ai (“you”). If you use Smart BD for your organization, you accept them on its behalf.
2. Your account
You need a confirmed email address to sign in. Keep your password to yourself; you are responsible for what happens under your account. Your organization’s administrator can change your role, your daily allowance, or suspend access.
3. Analyses are decision support
A Smart BD recommendation (Pursue, Investigate / Monitor, Diligence required, Pass or Do not proceed) is built from public evidence and the information you provide. It is a structured input to your decision, not investment, legal, regulatory or financial advice. Evidence can be incomplete or out of date; every result shows its confidence and what remains unknown, and you should check what matters before acting.
In short: Smart BD shows its working so you can judge it. The decision stays yours.
4. What you upload
You keep ownership of discovery documents and notes you add. You give us permission to store and process them only to produce and show your analyses. Upload only what you are allowed to share; do not upload information covered by a confidentiality agreement that forbids it.
5. Acceptable use
- No attempts to get around daily allowances, access controls or another organization’s data.
- No automated scraping of Smart BD, and no use of results to build a competing service.
- No analyses intended to harass a person or to break the law.
6. Allowances and fees
Each account may start a set number of analyses per day, which your administrator can change. [FEES: none during the pilot, or the pricing terms that apply.]
7. Availability
Smart BD is offered as a proof of concept. Features and scoring rules may change, and the service may be unavailable at times. Saved results keep the scoring rules they were made with, so an earlier analysis does not change when the rules do.
8. Ending your account
You can delete your account from Account settings at any time. We may suspend accounts that break these terms. [RETENTION: what is kept after deletion, and for how long.]
